Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and BizLink Alliance ("we," "us," or "our") concerning your access to and use of the BizLink Alliance platform and services. By accessing or using our platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

Eligibility

To use the BizLink Alliance platform, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our services under applicable laws
• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate and current

User Accounts

Account Creation

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

Account Security

You are responsible for:

• Safeguarding your password and any other credentials used to access our services
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

Membership Types

Free Membership

Free members have access to basic platform features including:

• Profile creation and directory listing
• Viewing member and business directories
• Event browsing and attendance
• Community feed viewing
• Limited networking capabilities

Premium Membership

Premium members have access to all platform features including:

• All free membership features
• Direct messaging with other members
• Group message creation and participation
• Event creation capabilities
• Enhanced profile visibility
• Priority support

Premium membership may be subject to fees. We reserve the right to change membership fees at any time with advance notice to members.

User Content and Conduct

User Content

Our platform allows you to post, upload, and share content including profile information, business listings, posts, comments, messages, and other materials ("User Content"). You retain all rights to your User Content, but you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your User Content on our platform.

Prohibited Content

You agree not to post User Content that:

• Is false, misleading, or fraudulent
• Infringes on intellectual property rights of others
• Contains hate speech, harassment, or discrimination
• Is obscene, pornographic, or sexually explicit
• Promotes illegal activities or violates any laws
• Contains viruses, malware, or other harmful code
• Violates the privacy or publicity rights of others
• Constitutes spam or unsolicited advertising

Prohibited Conduct

You agree not to:

• Use the platform for any unlawful purpose
• Impersonate any person or entity
• Harass, abuse, or harm other users
• Attempt to gain unauthorized access to the platform
• Interfere with or disrupt the platform's operation
• Collect user data without consent
• Use automated systems (bots, scrapers) without permission
• Sell or transfer your account to others

Intellectual Property Rights

Our Intellectual Property

The platform, including its design, features, functionality, text, graphics, logos, icons, images, and software, is owned by BizLink Alliance and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our platform without our express written permission.

Trademarks

"BizLink Alliance" and our logo are trademarks of BizLink Alliance. You may not use these trademarks without our prior written permission. All other trademarks appearing on our platform are the property of their respective owners.

Third-Party Services and Links

Our platform may integrate with or contain links to third-party websites, services, or content, including:

• Eventbrite for event management
• GoHighLevel for CRM services
• External business websites
• Social media platforms

We do not control, endorse, or assume responsibility for any third-party services or content. Your use of third-party services is at your own risk and subject to their terms and conditions.

Privacy

Your use of our platform is also governed by our Privacy Policy. By using our platform, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.

Disclaimers and Limitation of Liability

Service Provided "As Is"

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

No Guarantee of Accuracy

We do not warrant that:

• The platform will be uninterrupted, secure, or error-free
• The information provided on the platform is accurate or reliable
• Any defects or errors will be corrected
• The platform is free of viruses or other harmful components

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZLINK ALLIANCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the platform
• Any unauthorized access to or use of your account
• Any conduct or content of third parties on the platform
• Any content obtained from the platform
• Unauthorized access, use, or alteration of your transmissions or content

Indemnification

You agree to defend, indemnify, and hold harmless BizLink Alliance, its affiliates, officers, directors, employees, agents, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the platform.

Dispute Resolution

Informal Resolution

If you have any dispute with us, you agree to first contact us at admin@bizlinkalliance.com and attempt to resolve the dispute informally.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Jurisdiction

Any legal action or proceeding arising out of or relating to these Terms or the platform shall be brought exclusively in the federal or state courts located in Sacramento County, California, and you consent to the jurisdiction of such courts.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the platform and updating the "Last Updated" date. Your continued use of the platform after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the platform.

Termination

We may terminate or suspend your account and access to the platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the platform will immediately cease
• We may delete your account and all associated data
• Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability

Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be deemed modified to the extent necessary to make it valid and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the platform, constitute the entire agreement between you and BizLink Alliance concerning the platform and supersede all prior agreements and understandings.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of BizLink Alliance.
